Welcome to Wedly (referred to as "the Platform," "we," "us," or "our"). By downloading our application, accessing our website (www.shopwedly.com.au), or utilizing any of our peer-to-peer marketplace services (collectively, "the Services"), you agree to be bound legally by these Terms of Service. If you do not agree to these terms, you must not use our Services.

Terms of Service

1. Nature of the Services & Account Security

1.1 The Facilitator

Wedly provides an application and web-based venue where independent users can list, sell, and buy curated, high-end Boho-Luxe wedding apparel, decor, and structural pieces. Wedly is a facilitator only. We do not take legal ownership of any items, we do not inspect physical pieces, and we are not an auctioneer, agent, or a party to any contract of sale created directly between a Buyer and a Seller.

1.2 Eligibility

To register a secure account, list an item, or purchase via the Platform, you must be at least 18 years of age and hold a legal residence and valid bank account in Australia.

1.3 Account Integrity

You are entirely responsible for all activities conducted under your user profile. You agree to safeguard your login details, utilize mandatory multi-factor authentication where applicable, and maintain an accurate, updated shop profile photograph and contact information.

2. The Payment System & Strict "On-Platform" Mandate

2.1 Wedly Payments via Stripe

All monetary transactions within the app or website are processed securely using Wedly Payments, an infrastructure powered exclusively by Stripe Connect. By choosing to buy or sell on Wedly, you explicitly agree to comply with and be bound by the Stripe Connected Account Agreement and Stripe Services Agreement.

2.2 Approved Payment Methods

Buyers may complete their orders instantly using the "BUY" button via standard credit or debit cards, Apple Pay, Google Pay, or integrated buy-now-pay-later services (e.g., Klarna) available inside our interface.

2.3 Strict Off-Platform Ban

To protect our users and fund platform maintenance, all interactions intended to execute a sale must begin and conclude entirely inside the Platform. Suggesting, soliciting, or accepting alternative, off-platform payment methods—including but not limited to direct private bank transfers, cash-in-hand arrangements, or external apps—constitutes a material breach of these terms. Transactions made outside of Wedly Payments are strictly ineligible for Wedly Protection, and users attempting to bypass the Stripe system face immediate, permanent account termination.

3. Fees, Deductions, & The 10% Platform Commission

3.1 Wedly Selling Fee

Registration and standard item listing on the Platform are entirely free. When an item is successfully sold through the "BUY" button, a flat 10% Wedly Commission fee is automatically charged on the final item price.

3.2 Automatic Breakdown of Deductions

When a transaction is completed, our integrated Stripe Connect ledger will instantly calculate and deduct the following fees from the total gross sale amount before depositing the net profit into the Seller's secure platform wallet:

  • The 10% Wedly Platform Commission
  • The Stripe Processing Fee: A non-refundable card processing fee of 2.6% + $0.30 AUD.

3.3 No Fee Inflation

Sellers are strictly prohibited from adding surcharges or extra handling fees onto an item's final price in an explicit attempt to force the Buyer to pay the 10% platform commission. Listing prices must be transparently all-inclusive of the seller's desired return and expected platform deductions.

4. Shipping, Local Collection, & Seller Obligations

4.1 Dispatch and Packaging

Sellers agree to securely package and dispatch sold items to the exact shipping address provided by the Buyer at checkout. Items must be sent within the promised timeframe designated in the seller's individual shop policies.

4.2 Mandatory Tracked Shipping

For all standard parcels, Sellers must utilize a postal courier service (such as Australia Post) that offers valid proof of tracked shipping. The tracking information must be updated within the app immediately upon postage. Valid proof must show an active carrier scan routed specifically to the Buyer's destination. If a seller fails to provide valid tracking within a reasonable time, Wedly reserves the right to cancel the transaction and issue a full automated refund via Stripe.

4.3 Local Pickup Protocol (Bulky Items)

For oversized, heavy items marked specifically for local collection (e.g., large timber arches, modular lounge settings):

  • The tracking requirement is waived only upon the physical execution of a secure digital handover.
  • Buyers must visually and physically inspect the item at the location of collection to confirm it is exactly as described online.
  • Once the Buyer digitally confirms safe receipt inside the app interface, the pickup is logged, and the transaction is legally finalized, releasing the Stripe Connect funds to the Seller's wallet.

5. Marketplace Protection, Disclosures, & Refunds

5.1 Wedly Protection Policy

If a shipped item fails to arrive, is damaged in transit, or is significantly not as described in the written listing description, the Buyer is entitled to raise a claim for a full refund (including item price and shipping fees). All claims must be lodged through the app or website within 30 days of the purchase date to hold the funds via Stripe.

5.2 Exclusions from Protection

Wedly Protection does not apply, and refunds will not be granted, for a simple "change of mind" regarding second-hand goods. Furthermore, any transactions initiated online but completed via in-person cash transactions or external private apps forfeit all rights to platform mediation or recovery.

5.3 True Condition Disclosures

Sellers must supply authentic photographs taken by themselves that genuinely represent the actual item for sale. The use of scraped stock photography, third-party intellectual property, or deceptive filtering is forbidden. Sellers must explicitly detail all structural flaws, fabric stains, tears, missing components, or wear-and-tear within the item description.

6. Prohibited Behavior & System Misuse

6.1 Community Guidelines

Wedly operates on a policy of mutual respect. Any behavior involving harassment, cyberbullying, defamatory public comments, hate speech, or extortionate pricing tactics targeting other community users will cause immediate platform bans.

6.2 System Manipulation

Users must not utilize automated scrapers, buying bots, or third-party optimization software designed to artificially inflate shop views, manipulate algorithms, or automate repetitive messaging within the app ecosystem.

7. Limitations of Liability & Australian Consumer Law

7.1 Private Casual Sales

Users acknowledge that most transactions on Wedly occur as one-off private sales between individuals, rather than large retail entities. While your statutory rights under Australian Consumer Law (ACL) remain unaffected, casual second-hand sales do not carry the same structural consumer warranties as new retail items.

7.2 Liability Caps

To the maximum extent permitted by law, Wedly and its payment processing partners (Stripe) shall not be liable for any direct, indirect, incidental, or consequential damages resulting from platform transactions. This includes, without limitation, injuries sustained during the self-assembly or structural failure of second-hand event decor (such as arbors or heavy backdrops), or loss of profits relating to event timelines.

8. Governing Law

8.1 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State and Commonwealth of Australia. Any legal actions or disputes arising under these terms shall be subject to the exclusive jurisdiction of Australian courts.
